TERMS AND CONDITIONS

Welcome to Fio! These Terms and Conditions ("Agreement") govern your use of the Fio streaming app ("App"), which is owned and operated by Fio Technology, LLC ("Company"). By using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the App.

  1. Account Registration

    1. In order to use the App, you must register for an account.

    2. You must be at least 18 years of age to use the App. If you are under the age of 18, you may only use the App with the consent of your parent or legal guardian.

    3. You agree to provide accurate and complete information when registering for your account.

    4. You are responsible for maintaining the confidentiality of your account information, including your username and password.

  2. App Content

    1. The App may contain audio, video, text, and other content ("Content") that is owned by the Company or its licensors.

    2. You may only use the App and its Content for your personal, non-commercial use.

    3. You may not modify, distribute, reproduce, or display any Content without the express written consent of the Company.

  3. App Usage

    1. You agree to use the App only for lawful purposes.

    2. You may not use the App in any manner that could damage, disable, overburden, or impair the App or interfere with any other party's use and enjoyment of the App.

    3. You may not use the App to transmit any viruses, worms, or other harmful code.

    4. You may not use the App to engage in any fraudulent, deceptive, or misleading activities.

  4. Subscription Services

    1. The App offers both free and premium subscription services ("Subscription").

    2. By subscribing to a premium service, you agree to pay the subscription fee as disclosed at the time of purchase.

    3. Subscriptions may be offered on a monthly, quarterly, or annual basis, with charges processed at the beginning of each billing period.

    4. Subscription fees are non-refundable except as required by applicable law.

    5. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.

    6. You can manage and cancel your subscription through your device's app store account settings.

    7. Pricing and subscription terms may change with notice provided through the App or via email prior to implementation.

    8. If a price change occurs, you will be notified and have the opportunity to accept the new price or cancel your subscription.

    9. Free trial periods, when offered, will automatically convert to paid subscriptions unless cancelled before the trial period ends.

    10. Family subscription plans may be available, allowing a specified number of users to access premium content under one subscription.

  5. Third-Party Payment Processing

    1. Subscription payments are processed through third-party payment processors such as Apple App Store, Google Play Store, or other payment platforms.

    2. These third-party platforms may have their own terms and conditions regarding payment processing and refunds.

    3. For subscriptions purchased through an app store, the respective app store's payment terms and refund policies will apply.

  6. Privacy Policy

    1. The Company's Privacy Policy, which is incorporated into this Agreement by reference, outlines how the Company collects, uses, and protects your personal information.

    2. By using the App, you consent to the Company's collection and use of your personal information in accordance with the Privacy Policy.

  7. Termination

    1. The Company may terminate your access to the App at any time and for any reason.

    2. You may terminate your account at any time by deleting the App from your device.

    3. Cancellation of a subscription does not automatically terminate your account.

    4. If you cancel your subscription, you may continue to have access to premium features until the end of your current billing period.

  8. Intellectual Property

    1. The App and its Content are protected by intellectual property laws, including but not limited to copyright and trademark laws.

    2. You may not use any of the Company's intellectual property without the express written consent of the Company.

  9. Disclaimer of Warranties

    1. THE APP AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

    2. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  10. Limitation of Liability

    1. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR USE.

    2. THE COMPANY'S MAXIMUM LIABILITY FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE USE OF THE APP.

  11. Modification

    1. The Company may modify this Agreement at any time by posting the modified Agreement on the App.

    2. Your continued use of the App after the posting of the modified Agreement constitutes your agreement to the modified Agreement.

  12. Governing Law

    1. This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law provisions.

    2. Any dispute arising out of or in connection with this Agreement shall be resolved in the state or federal courts located in Texas.

  13. Indemnification

    1. You agree to indemnify and hold the Company harmless from and against any and all claims, damages, liabilities, and expenses arising out of or in connection with your use of the App.

  14. Severability

    1. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  15. Entire Agreement

    1. This Agreement constitutes the entire agreement between you and the Company with respect to the use of the App.

    2. Any other agreements, representations, or warranties not expressly stated in this Agreement are hereby disclaimed.

By using the Fio app, you acknowledge that you have read and understand these terms and conditions, and agree to be bound by them. If you do not agree to these terms, do not use the Fio app.
